Terms and conditions
The ground rules for working with us, written to be read, not skimmed past.
Effective and last updated: March 2026
About these terms
These Terms and Conditions ("Terms") govern your use of the Aidoptiv website, client dashboard and consultancy services. "Aidoptiv", "we" and "us" refer to Aidoptiv, Block B-B58-033, SRTIP, Sharjah, United Arab Emirates. "You" refers to the business engaging us and the person accepting these Terms on its behalf.
By using Aidoptiv, you agree to these Terms. If you disagree, do not use our services.
Where you have signed a proposal, statement of work or engagement agreement with us, that document takes precedence over these Terms if the two conflict.
Who can use Aidoptiv
Aidoptiv provides AI consultancy services to businesses. You must be a registered business or an authorised representative of one. The person accepting these Terms must be 18 or over and authorised to bind your organisation. Our services are not offered to consumers.
Your account
You are responsible for keeping your dashboard login credentials secure and for all activity under your account. Provide accurate information and keep it up to date. Tell us straight away at hello@aidoptiv.com if you suspect unauthorised access.
What we provide
Aidoptiv provides AI adoption consultancy across three tracks: technology, change, and people capability. Services include:
- AI Readiness Assessment across HR, finance, sales and marketing, and operations
- Workflow diagnosis and automation opportunity identification
- Tool research and recommendations
- Implementation planning and roadmaps
- Team training and hands-on implementation
- Ongoing Consultancy as a Service (CaaS) support
- A client dashboard to track your engagement, access deliverables, and manage communications
The exact scope, deliverables and timeline for each engagement are set out in writing before paid work begins. We will notify you of any significant changes to service scope or delivery.
Pricing
- Free consultation: a 30-minute introductory call at no cost.
- AI Readiness Assessment: a one-time paid engagement. Pricing is provided after the free consultation based on your company size and scope.
- CaaS retainer: ongoing monthly consultancy support. Pricing is agreed before the engagement begins.
- Custom projects: scoped and quoted individually.
All pricing is confirmed in writing before any paid work begins. We may adjust pricing for future engagements or retainer periods with 30 days written notice. Agreed pricing for work already in progress will not change.
Payment
- Assessment fees are due before work begins, unless otherwise agreed in writing.
- CaaS retainer fees are billed monthly in advance and are due within 15 days of invoice.
- Late payments incur a charge of 1.5% per month on the overdue amount, and we may pause services until the account is settled.
- All fees exclude VAT and other applicable taxes, which will be added to invoices where required by UAE law.
- Reasonable pre-approved expenses, such as travel for on-site work, are billed at cost.
- Fees paid for completed work are non-refundable.
Engagement and termination
- Assessment engagements are one-time and conclude on delivery of the final report and roadmap.
- CaaS retainers run month to month unless a fixed term is agreed. Either party may end the retainer with 30 days written notice.
- We may terminate immediately if you materially breach these Terms, use our services unlawfully, or fail to pay for more than 30 days after the due date.
- Either party may terminate if the other becomes insolvent or ceases to trade.
On termination, client dashboard access ends after 30 days. Outstanding fees, including for work completed up to the termination date, remain due. You may request an export of your data within that 30-day period, after which it is handled in line with our Privacy policy.
Your data
You own all data you share with us, including business workflows, documents and organisational information. We use it solely to deliver our consultancy services, and we do not use it to train AI models.
We do not share your data with other clients or any third party for commercial purposes. You can request data export or deletion at any time. How we collect, store and protect personal data is set out in our Privacy policy, which forms part of these Terms.
You are responsible for ensuring you have the right to share any data you provide to us, including employee or team information, and for informing your team where required.
What you cannot do
Do not use Aidoptiv services or the client dashboard to:
- Break any law or regulation
- Upload malware or harmful code
- Access other clients’ accounts or data
- Reverse engineer our platform, tools or deliverables
- Resell, redistribute, or sublicense our deliverables to third parties without written permission
- Share dashboard credentials with unauthorised persons
Violations may result in immediate termination without refund.

- We do not guarantee specific business outcomes, cost savings, or revenue increases
- Recommendations are based on the information you provide, and their accuracy depends on its completeness
- AI tools we recommend or configure are subject to their own terms, pricing changes, and availability
- You are responsible for final decisions on tool adoption, process changes, and business operations
- We are not liable for decisions you make based on our recommendations
Services are provided with reasonable skill and care, on a best-efforts basis. We do not provide legal, financial, or tax advice.
Intellectual property
- We own: our methodologies, frameworks, assessment templates, training materials, platform technology, and any know-how we develop.
- You own: your business data and any documents you provide to us.
- Deliverables: reports, roadmaps and implementation plans created specifically for you are licensed to you for internal business use, once fees for them are paid in full. You may not resell or distribute them.
- Configurations: automations and workflows we build inside your own systems belong to you once paid for, excluding any of our reusable components.
If you provide feedback on our services, we may use it to improve our offerings. We will not name you as a client or publish a case study about your engagement without your written permission.
Confidentiality
Both parties agree to keep each other’s confidential business information private. This includes your business workflows and data, our methodologies and pricing, and any proprietary information shared during the engagement. This does not apply to information that is already public, independently developed, or required to be disclosed by law. This obligation survives termination for 2 years, and indefinitely for personal data and trade secrets.
Liability limits
Our total liability to you under or in connection with any engagement is capped at the fees you paid us in the 12 months preceding the claim. We are not liable for indirect or consequential losses, including lost profits, data loss, or business interruption.
These limits do not apply to gross negligence, wilful misconduct, fraud, or any liability that cannot be limited under UAE law.
Your responsibilities
You agree to:
- Provide accurate and complete information for assessments
- Make team members available for scheduled consultations and training
- Provide timely access to the systems, people and decisions the engagement depends on
- Implement recommendations at your own discretion and responsibility
- Indemnify us against claims arising from your use of our recommendations, your business decisions, or your breach of these Terms
Where delays on your side affect the agreed timeline, we will agree a revised schedule with you.
Third-party tools
We may recommend or configure third-party tools, such as Google Workspace, Microsoft 365, or automation platforms. Their own terms and pricing apply, and licences are held in your name. We are not responsible if third-party tools change features, pricing, or availability. We do not receive commissions from tool providers, so our recommendations are independent.
Website use
Content on our website and Insights pages is provided for general information and does not constitute advice for your specific business. We may update or remove content at any time. Links to third-party sites are provided for convenience; we are not responsible for their content.
Changes to these terms
We may modify these Terms with 30 days notice, posted on this page and sent to active clients by email. Continued use of our services after that date means acceptance. If you disagree, you may terminate your engagement before the changes take effect.
Disputes and governing law
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah.
Please try to resolve any dispute informally first by emailing hello@aidoptiv.com. If it is not resolved within 30 days, it will be referred to binding arbitration seated in Sharjah under UAE Federal Law No. 6 of 2018 on Arbitration, in English. The courts of Sharjah have jurisdiction only to enforce an arbitral award or grant urgent interim relief.
General
These Terms, any signed engagement documents, and our Privacy policy form the complete agreement between us. You cannot transfer your engagement without our written consent. If any provision is unenforceable, the rest remains valid. A failure to enforce any right is not a waiver of it. Neither party is liable for delays caused by events beyond reasonable control (force majeure). Formal notices must be given in writing by email to the addresses on record.
